These Terms and Conditions apply to your use of Wild Sage Therapy’s website located at https://wildsagetherapy.ca (the “Website”), and the therapeutic services offered by Wild Sage Therapy (the “Services”) to our users and clients (the “User”, “You”, or “Client”). By using any of Wild Sage Therapy’s Services, visiting the Website, or completing the sign-up process, you are deemed to have read and agreed to the following terms and conditions:
1) About the Service
The Website is operated by Samantha Mirarchi Social Work Professional Corporation, operating as Wild Sage Therapy (the “Corporation”, “we,” “us”, or “our”), an Ontario professional corporation which provides counselling and psychotherapy services through registered social workers to its clients in the Province of Ontario, throughout Canada, and internationally, where permissible by local law.
The social workers providing services through Wild Sage Therapy are subject to the professional and regulatory requirements applicable to their practice, including the requirements under the Ontario College of Social Workers and Social Service Workers.
If you are accessing our Website or Services from a jurisdiction outside Canada, you hereby acknowledge and agree that your use of the Website and/or Services shall, to the greatest extent permitted by applicable law, remain at all times subject only to the laws of Ontario and Canada. To the extent permitted by applicable law, we reserve the right to deny or terminate service to any Website User or Client at our sole discretion.
Wild Sage Therapy makes every effort to ensure materials on the Website are displayed accurately with the same colours and images across different computers and devices. However, Wild Sage Therapy cannot guarantee that your computer or device will accurately or consistently display image colours and sizing.
2) The Website Is Not Emergency or Crisis Support
The Website and its content are not intended to provide emergency, crisis, or immediate mental-health support and are not a substitute for emergency services or immediate professional assistance.
If you are experiencing an emergency or believe that you or another person is at immediate risk of serious harm, you should contact the appropriate emergency or crisis service in your jurisdiction.
3) User and Client Options
Wild Sage Therapy offers fully virtual personalized counselling and psychotherapy services geared towards individuals in their 20s and 30s, using multiple evidence-based modalities, enabling a tailored approach to individual needs and goals (“the Services”). These therapies can include the use of EMDR therapy, CBT therapy, DBT therapy, Somatic therapy and/or Attachment therapy. These therapeutic services are offered both to individuals and to couples remotely by online videoconferencing or, in some cases, by phone.
To receive the Services, Users must first book a free 15-minute phone or video consultation (“the Initial Consultation”) under “Book a Free Consultation” through the Website contact form or the Jane App (“the Booking Platform”), a third-party appointment-booking and practice-management platform. The Initial Consultation enables the Wild Sage Therapy therapist to answer the User’s questions, understand the User’s motivation for therapy, and determine whether the therapist is well-suited for the User’s needs. To book the Initial Consultation, a User must select whether they are seeking Individual Therapy or Couple’s Therapy. The User can also select the therapist of their choice for the Initial Consultation. User’s must then create an account through the Booking Platform and are required to provide their first and last name, e-mail address, phone number, and date of birth. Users will then be responsible for selecting their own unique and secure password. Following the User’s Initial Consultation, the User will then select a time for the Services through their Booking Platform-linked account. Upon booking, the User will be prompted to fill out and sign a secure intake form (“the Intake-Form”) through their Booking Platform -linked account. The Intake-Form requires, at a minimum, the following information: the User’s contact information, a questionnaire concerning the patient’s health history, the User’s consent to treatment, and the User’s consent for Wild Sage Therapy’s fees and cancellation policies. Upon signing the Intake-Form, the User then becomes a client (“the Client”) and can begin the Services. The Client will be able to manage their future bookings through their Booking Platform-linked account.
When using the Website and our Services, you acknowledge and agree that you will (1) provide true, accurate, current and complete information about yourself as prompted by the Booking Platform Intake-Form; and (2) maintain and promptly update personal information to ensure said information is true, accurate, current and complete. You must at all times provide accurate and truthful information regarding your identity when signing up for the Initial Consultation and/or completing the Intake-Form. You must not sign up for an Initial Consultation or Complete the Intake-Form for another individual without that individual’s explicit permission.
4) Fees and Taxes
Wild Sage Therapy’s fees for Services are in alignment with the Ontario College of Social Workers and Social Service.
Therapy sessions at Wild Sage Therapy will generally comprise 50 minutes of consultation time. Fees for Services will be provided to the Client at the time of booking and depend on the therapist and whether the Services are for an individual or a couple.
A sliding scale is available upon request and is subject to availability and Wild Sage Therapy’s discretion.
All prices are shown in Canadian Dollars (CAD). All prices are flat rates with no additional taxes or fees added.
All Client payments must be paid immediately following the end of session. Payments may be processed through a third-party payment processing service through the Booking Platform. Accepted forms of payments are credit card or e-transfer. Users shall make all payments in accordance with the fees and billing terms in effect at the time Fees are due and payable.
Wild Sage Therapy reserves the right at any time to change its prices and billing methods, either immediately upon posting on the Booking Platform or by email delivery to the User or Client subject to any agreed-upon terms in the Intake-Form.
Wild Sage Therapy will provide the Client with a receipt after payment processing. This receipt can be submitted to the Client’s insurance company for reimbursement or for a medical expense tax credit as the case may be.
5) Cancellation Policy
Wild Sage Therapy requires 48 hours notice for any cancellations or change to the Client’s appointment. Clients who provide less than 48 hours notice, or miss their appointment, are nevertheless responsible for the full session fee.
Wild Sage Therapy recommends consistent use of Services for optimal outcomes. However, Wild Sage Therapy recognizes that the length of therapy depends on various factors. Consequently, the length of therapy is at the discretion of the Client depending on the Client’s needs, individual situation, and discussions with the therapist.
6) Website Information Is General Information
The information provided on the Website is intended for general informational and educational purposes only.
Information on the Website does not constitute:
medical advice;
psychological or psychotherapeutic advice;
legal advice;
diagnosis;
treatment; or
a substitute for individualized professional care.
No therapeutic, counselling, or psychotherapeutic relationship is created merely by:
visiting the Website;
reading information on the Website or its associated Blog;
watching an embedded video;
viewing social media content displayed on the Website; or
submitting an inquiry through the Website’s contact form or booking an Initial Consultation.
A professional relationship is established only in accordance with Wild Sage Therapy's applicable intake, consent, and service procedures.
7) No Guarantee of Services or Availability
Information about services, therapists, availability, fees, and other matters displayed on the Website may change from time to time.
Submitting an inquiry through the Website’s contact form or Booking Platform, or requesting an Initial Consultation, does not guarantee that:
services will be available;
a particular therapist will be available;
a particular appointment time will be available; or
a counselling or psychotherapy relationship will be established.
Any service relationship is subject to applicable intake procedures, consent requirements, professional obligations, and other applicable terms and policies.
8) Contact Form
The Website has a contact form which individuals can contact Wild Sage Therapy concerning global questions relating to Wild Sage Therapy’s counselling and psychotherapy services.
The information submitted through the form may be used to:
respond to inquiries;
communicate with the person;
consider a preferred method of contact;
consider a preferred therapist;
assist with therapist matching;
assess availability; and/or
facilitate the process of requesting or arranging services.
Submitting an inquiry does not guarantee that Wild Sage Therapy will be able to provide services or that a particular therapist will be available.
You must avoid submitting detailed or highly sensitive personal health information through the Website.
Information submitted through the Website is handled in accordance with our Privacy Policy.
9) Appointment Booking Through the Booking Platform
The booking process involves selecting Individual Therapy or Couples Therapy, selecting the therapist, and providing information necessary to schedule and administer an appointment.
To book an Initial Consultation or an appointment, you will be required to create and subsequently use an account through the Booking Platform. You are responsible for updating your account access passwords regularly. It is strongly recommended that passwords or login information or any other confidential information not be shared by email unless encrypted.
Your use of the Booking Platform may also be subject to the Booking Platform's own terms and conditions and privacy practices, as described here: https://jane.app/ca/legal
Additional terms, consent requirements, or policies may apply to the provision of counselling and psychotherapy services. All Clients are required to complete our Informed Consent & Intake Form and any other documents as required by the therapist.
10) Intellectual Property Rights and Ownership
Except as otherwise provided, subject to your compliance with these Terms and Conditions, and in consideration of your adherence to these terms and payment of any applicable Fees, Wild Sage Therapy grants to you a revocable, personal, non-exclusive, non-assignable and non-transferable license for personal, non-commercial purposes, except where explicitly provided otherwise, to (i) access the Website (ii) cause the Website to be displayed from a computer and/or mobile device and (iii) use the Website, including content downloaded from the Website, solely as permitted under these Terms and Conditions (the “License”). Wild Sage Therapy and its affiliates and licensors reserve all rights not expressly granted to you in these Terms and Conditions. Your rights herein are only as described above for this limited License. The License granted under this Section may be terminated by Wild Sage Therapy for any reason at Wild Sage Therapy’s sole discretion.
You understand and agree that the Website and its entire contents, features, and functionality, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by Wild Sage Therapy, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
The “Wild Sage Therapy” name, Wild Sage Therapy logo, and all related names, logos, product and service names, designs, images and slogans are trademarks of Wild Sage Therapy or its affiliates or licensors. You must not use such marks without the prior written permission of Wild Sage Therapy. Other names, logos, product and service names, designs, images and slogans mentioned, or which appear on this Website are the trademarks of their respective owners.
Use of any of Wild Sage Therapy’s intellectual property, except as expressly authorized, shall constitute a violation of the rights of the property owner and may be a violation of federal or other laws and could subject the violator to legal action. You may only use the Website for your personal and non-commercial use. You shall not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website or associated social media in any form or medium whatsoever except:
Your computer and browser may temporarily store or cache copies of materials being accessed and viewed;
a reasonable number of copies for personal use only may be printed, keeping any proprietary notices thereon, which may only be used for non-commercial and lawful personal use and not for further reproduction, publication, or distribution of any kind on any medium whatsoever; and
material for which Wild Sage Therapy has provided its explicit written permission, except where permitted by applicable law.
Users and Clients are not permitted to modify copies of any materials from the Website nor delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Website. You must not access or use for any commercial purposes any part of the Website or any services or materials available through the Website.
If you print off, copy or download any part of our Website in breach of these Terms and Conditions, your right to use our Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made. You have no right, title, or interest in or to the Website or to any content on the Website, and all rights not expressly granted are reserved by Wild Sage Therapy. Any use of the Website not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other intellectual property laws.
11) Conditions of Use and Site Content Standards
i. Definitions
For the purposes of this Section, the following definitions apply:
“Business or Service Interruption” means any interruption, delay, suspension, or stoppage affecting the Website or Services resulting from circumstances that could not reasonably have been foreseen or prevented by Wild Sage Therapy.
“Computer Security” means the technical, physical, and administrative safeguards, systems, programs, software, and procedures used by Wild Sage Therapy or its service providers to protect information and systems against unauthorized access, use, disclosure, alteration, loss, destruction, or other security threats.
“Cyber Extortion” means any direct or indirect attempt to coerce Wild Sage Therapy or its representatives, through electronic or other technological means, into providing money, property, information, access, or any other thing of value, or taking or refraining from taking any action, in response to an actual or threatened cyberattack or other malicious activity.
“Data” means electronic information, including text, images, video, audio, code, metadata, or other digital content provided to, collected by, or otherwise in the custody or control of Wild Sage Therapy.
“Force Majeure Event” includes, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes, acts of God, pandemics or epidemics, government-mandated restrictions or lockdowns, and interruptions, loss, or malfunction of utilities, telecommunications, internet services, or computer software or hardware services.
“Information” means Personal Information, Personal Health Information, Data, and other information or records in the custody or control of Wild Sage Therapy.
“Malicious Code” means any virus, worm, Trojan horse, ransomware, spyware, malware, malicious script, or other code or software designed or intended to compromise, disrupt, damage, impair, gain unauthorized access to, or otherwise adversely affect a computer system, network, software, data, or other technology.
“Personal Information” means recorded information about an identifiable individual, other than information that constitutes Personal Health Information.
“Personal Health Information” means identifying information about an individual in oral or recorded form that relates to the individual's physical or mental health, including information relating to the individual's health history, diagnosis, treatment, or provision of health care services, as defined under applicable law, including the Personal Health Information Protection Act, 2004 (PHIPA), where applicable.
“Security Breach” means the loss of, unauthorized access to, unauthorized use of, unauthorized disclosure of, alteration of, destruction of, or other compromise affecting Information or the systems used to store, transmit, or otherwise process Information.
ii. Security and Unforeseeable Events
Wild Sage Therapy takes the security, confidentiality, and protection of User and Client Information seriously. Wild Sage Therapy implements reasonable safeguards appropriate to the nature and sensitivity of the Information in its custody or control.
In connection with the provision of Services, certain Personal Health Information may be collected, stored, transmitted, or otherwise processed through third-party service providers, including third-party practice-management platforms designed for use in connection with health care or health-related services. The use of such third-party services is subject to the applicable contractual, technical, security, and privacy arrangements governing those services.
No method of electronic transmission, storage, or processing is completely secure. Despite reasonable safeguards, Information may be affected by events or circumstances that cannot reasonably be foreseen, prevented, or controlled by Wild Sage Therapy, including cyberattacks, hacking, ransomware, Cyber Extortion, Malicious Code, hardware or software failures, telecommunications or internet failures, Business or Service Interruptions, and Force Majeure Events.
Subject to applicable law, Wild Sage Therapy will not be responsible for loss, damage, destruction, unauthorized access to, or unauthorized disclosure of Information resulting solely from circumstances beyond Wild Sage Therapy’s reasonable control, provided that Wild Sage Therapy has taken the reasonable safeguards and steps required by applicable law in the circumstances.
iii. Force Majeure
Wild Sage Therapy shall not be liable for any failure to perform any obligation under any agreement which is due to an event beyond the control of such party including but not limited to any Act of God, terrorism, war, political insurgence, pandemic, epidemic, government-mandated lockdown, insurrection, riot, civil unrest, act of civil or military authority, uprising, pandemic, earthquake, flood or any other natural or man-made eventuality outside of our control, which causes the termination of the Services or of an agreement or contract entered into with Wild Sage Therapy, which termination could have been reasonably foreseen. In such event, Wild Sage Therapy shall forthwith inform the other party and shall use all reasonable endeavours to comply with the terms and conditions of any agreement entered between the parties.
iv. Limitations Relating to Security Incidents and Service Interruptions
Subject to applicable law, Wild Sage Therapy will not be liable for an interruption, delay, suspension, loss, corruption, alteration, destruction, or inability to access Data or other Information resulting from:
unauthorized access to, or compromise of, Wild Sage Therapy 's or a third-party service provider's computer systems, networks, accounts, or other technology;
the alteration, corruption, destruction, deletion, or damage of Data or other Information resulting from a Security Breach, Malicious Code, Cyber Extortion, or other unauthorized activity;
the loss of, damage to, or inability to access Data or intellectual property resulting from a Security Breach or from an unforeseen or reasonably unavoidable failure of computer hardware, software, firmware, telecommunications, satellite services, internet services, or other technological infrastructure;
the transmission of Malicious Code from or through Wild Sage Therapy's systems or a third-party service provider's systems, despite reasonable safeguards and security measures; or
a loss, interruption, or threat resulting from Cyber Extortion or another cyberattack.
Nothing in this Section limits or excludes any obligation, liability, right, or remedy that cannot lawfully be limited or excluded, including obligations relating to the protection, handling, notification, investigation, or reporting of Personal Information or Personal Health Information under applicable privacy, health information, professional, or other laws.
12) Acceptable Use
As a condition of your access and use of the Website, you agree that you may use the Website only for lawful purposes and in accordance with these Terms and Conditions. These content standards apply to any and all content, material, and information a User submits, posts, publishes, displays, or transmits (collectively, “submit”) to the Website, and to other users or other persons (collectively, “User Submissions”). Without limiting the foregoing, you warrant and agree that, when using the Website or the Services, you shall not:
Violate any applicable federal, provincial, local, or international law or regulation or submit any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our privacy policy;
Upload or cause to be displayed on or through the Website any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such prohibited ground or be otherwise objectionable;
Provide or contribute to any false, inaccurate or misleading information;
Impersonate or attempt to impersonate Wild Sage Therapy, a therapist employed by Wild Sage Therapy, another user, or any other person or entity (including, without limitation, by using email addresses, or screen names associated with any of the foregoing);
Transmit, or procure the sending of, any advertisements or promotions, commercial activities or sales, including without limitation any “spam”, “junk mail”, “chain letter”, contests, sweepstakes and other sales promotions, barter, or advertising or any other similar solicitation;
Engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by us, may harm Wild Sage Therapy, users of the Website, Clients, and/or therapists, or expose them to liability;
Promote any illegal activity, or advocate, promote, or assist any unlawful act;
Give the impression that content you created originated from or is endorsed by Wild Sage Therapy or any other person or entity, if this is not the case;
Attempt to gain unauthorized access to systems or accounts;
Collect information about other users without authorization
Plagiarize Wild Sage Therapy’s content or creations; or
Reproduce or use without authorization any copyrighted material.
13) Third-Party Content and Services
The Website may display or provide access to content, services, or functionality provided by third parties. These services may include platforms used to facilitate appointment booking, account management, communications, record management, or other practice-related functions. Third parties may also constitute the following:
embedded YouTube videos;
content or excerpts from Wild Sage Therapy's Instagram account;
links to Instagram; and
other third-party services.
Your use of third-party websites and services may be subject to their own terms and policies. You must comply with applicable third-party terms of agreement when using the services of a third party contracted by Wild Sage Therapy.
We do not control third-party platforms and are not responsible for their content, availability, security, or privacy practices.
We do not guarantee the continued availability, accuracy, or completeness of third-party content displayed on the Website.
14) Availability
Unless otherwise stated, the Services featured on this Website are available within North America and internationally, where permissible by law and subject to local rules and regulations. All advertising is intended solely for the Ontario, Canada market. The User and Client is solely responsible for evaluating the fitness for a particular purpose of any downloads, programs and text available through the Website. Redistribution or republication of any part of the Website or its content is prohibited, including such by framing or other similar or any other means, without the express written consent of Wild Sage Therapy. Wild Sage Therapy does not warrant that the Services, the Website, or the Booking Platform will be uninterrupted, timely or error free, although it is provided on a best-efforts basis.
Wild Sage Therapy endeavours to ensure that the content on the Website (the “Content”) and the Booking Platform is complete and current. However, Wild Sage Therapy does not warrant as to the quality, accuracy or completeness of Content on our Website or Booking Platform. Such information is provided “as is” without warranty or condition of any kind. This Website and the Booking Platform may include inaccuracies, typographical errors, errors or omissions. Such errors, inaccuracies, typographical errors or omissions may relate to price or to product description or availability. In no event shall Wild Sage Therapy be liable for any damages whatsoever, including special, indirect or consequential damages, arising out of or in connection with the use or performance of Content available on the Website or Booking Platform.
We may modify, suspend, or discontinue any part of the Website or Booking Platform at any time without notice.
15) Notification of Changes
Wild Sage Therapy reserves the right to change these conditions from time to time as it sees fit. Updated Terms will be posted on the Website with a revised “Last Updated” date. Your continued use of the Website after updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.
If there are any changes in how Wild Sage Therapy uses data pertaining to the Contact Form, the Initial Consultation, and/or the Intake-Form, notification by e-mail or postal mail, as applicable, will be made to those affected by this change.
We may update this Privacy Policy from time to time to reflect changes in our information practices, services, technology, service providers, or applicable legal and professional requirements. The updated Privacy Policy will be posted on the Website with a revised “Last Updated” date.
Where a change materially affects the way we collect, use, disclose, retain, or otherwise handle personal information or personal health information, we will provide any notice or obtain any consent required by applicable law.
Where required by applicable law, we may provide additional notice of material changes through appropriate means.
Any changes to fees and availability of therapists will be posted on the Website and/or the Booking Platform.
16) Disclaimer of Warranties
You understand and agree that your use of the Services, the Website, its content, and any Services through the Website and the Booking Platform is at your own risk. To the extent provided by law, the Website, its content, the Booking Platform’s contents, and any Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.
Neither Wild Sage Therapy nor any affiliates nor their respective directors, officers, employees, agents or service providers makes any warranty, representation or endorsement with respect to the completeness, security, reliability, suitability, accuracy, currency or availability of the Website or its contents. Without limiting the foregoing, neither Wild Sage Therapy nor any affiliates nor their respective directors, officers, employees, agents or service providers represents or warrants that the Website, its content, the Booking Platform or any services or items found or attained through the Website will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or other harmful components.
We cannot and do not guarantee or warrant that files or data available for downloading from the internet or the Website will be free of viruses or other destructive code. You are solely and entirely responsible for your use of the Website and your computer, internet and data security. To the fullest extent provided by law, we will not be liable for any loss or damage caused by denial-of-service attack, distributed denial-of-service attack, overloading, flooding, mailbombing or crashing, viruses, trojan horses, worms, logic bombs, or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the Services, the Website, or your downloading of any material posted on the Website, or on any website linked to it.
Nothing in these Terms excludes or limits any rights or protections that cannot legally be excluded or limited.
17) Limitation of Liability
i. User and Client Privacy
WILD SAGE THERAPY TAKES USER SECURITY AND PRIVACY VERY SERIOUSLY. WE UTILIZE A NUMBER OF PRECAUTIONS INCLUDING REMOTE MONITORING SOFTWARE, EXTERNAL BACKUPS, AND COMPUTER FIREWALLS. HOWEVER, WILD SAGE THERAPY CANNOT AND SHALL NOT BE HELD RESPONSIBLE FOR ANY DAMAGE OR INJURY CAUSED DIRECTLY OR INDIRECTLY BY A DATA BREACH OR ANY OTHER LOSS OF USER DATA WHICH WAS OUTSIDE OUR CONTROL. THIS LIMITATION OF LIABILITY SHALL APPLY TO ALL USER DATA, WHETHER IN ELECTRONIC OR PHYSICAL FORM, AND REGARDLESS OF WHETHER SUCH DATA WAS PRODUCED BY WILD SAGE THERAPY OR PROVIDED BY THE USER.
To the maximum extent permitted by applicable law, Wild Sage Therapy and its directors, officers, employees, contractors, therapists, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of, or inability to use, the Website and the Booking Platform.
This limitation does not apply to liability that cannot legally be excluded or limited.
ii. Website & Services
Subject to applicable law, under no circumstance will Wild Sage Therapy, its affiliates and their respective directors, officers, employees, agents, or service providers be liable for negligence, gross negligence, negligent misrepresentation, fundamental breach, damages of any kind, under any legal theory, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, breach of privacy or otherwise, even if the party was allegedly advised or had reason to know, arising out of or in connection with (1) your experience while using the Services, (2) your interactions with the Website (3) your use or misuse of information provided to you by Wild Sage Therapy, (4) any interruptions to the Services or the Website, (5) your use, inability to use, or reliance on the Website, any linked websites or such other third party websites, (6) your use of any Website content, materials, postings, or information thereon, or (7) the violation of these Terms by you or a third party.
TO THE FULLEST EXTENT PERMISSIBLE BY LAW, OTHER THAN IN THE EVENT OF A FINDING OF GROSS NEGLIGENCE BY AN ONTARIO COURT, WILD SAGE THERAPY’S TOTAL LIABILITY TO YOU SHALL NOT UNDER ANY CIRCUMSTANCES EXCEED THE TOTAL AMOUNT OF ALL MONIES PAID BY YOU TO WILD SAGE THERAPY.
18) WAIVER
PLEASE READ THE FOLLOWING CLIENT WAIVER CAREFULLY. YOU MUST ACKNOWLEDGE AND AGREE TO THE TERMS OF THIS WAIVER PRIOR TO STARTING ANY THERAPEUTIC SERVICES WITH THE CORPORATION OPERATING UNDER THE NAME OF WILD SAGE THERAPY.
By acknowledging this document, I confirm that I have read and understood the information below and agree to the terms applicable to my counselling or psychotherapy services.
i. Nature of Counselling and Psychotherapy Services
I understand that counselling and psychotherapy are professional services intended to assist with emotional, psychological, behavioural, relational, or other concerns.
I understand that counselling and psychotherapy may involve discussing difficult, sensitive, or distressing experiences, thoughts, emotions, memories, relationships, behaviours, or other personal matters.
I understand that participation in counselling or psychotherapy may sometimes result in temporary emotional discomfort, distress, increased awareness of difficult emotions or experiences, or other reactions associated with the therapeutic process.
I acknowledge that these potential experiences do not necessarily indicate that counselling or psychotherapy is inappropriate or unsuccessful. I understand that I should communicate with my social worker or psychotherapist if I experience concerns about the therapeutic process or believe that the services are not meeting my needs.
ii. No Guarantee of a Particular Outcome
I understand that counselling and psychotherapy do not guarantee a particular outcome.
Wild Sage Therapy and the therapist providing services cannot guarantee that counselling or psychotherapy will:
resolve a particular concern or condition;
produce a particular result;
prevent future emotional, psychological, behavioural, or relational difficulties; or
produce results within a particular period of time.
I understand that outcomes may be affected by many factors, including the nature and complexity of the concerns being addressed, my circumstances, my participation in the therapeutic process, and factors outside the control of Wild Sage Therapy or the practitioner providing services.
iii. Client’s Participation and Communication
I understand that counselling and psychotherapy are collaborative processes and that my participation may affect the therapeutic process.
I agree to provide information that I reasonably believe may be relevant to my care and to communicate, to the best of my ability.
I understand that I may ask questions about the services I receive and may communicate concerns about the therapeutic relationship or the services provided.
iv. Appropriate Use of Services
I understand that counselling and psychotherapy services may not be appropriate for every concern or circumstance.
Wild Sage Therapy and the therapist providing services may determine that a different service, practitioner, level of care, or type of support may be more appropriate for my needs.
Where appropriate and permitted, I may be referred or directed to other services or resources.
I understand that counselling and psychotherapy services provided by Wild Sage Therapy are not a substitute for emergency or crisis services and I should not rely on Wild Sage Therapy, its website, or a scheduled appointment as a substitute for immediate assistance.
v. Electronic and Virtual Services
As counselling or psychotherapy services are provided through telephone, video, electronic communication, or other technology, I understand that the use of electronic communications and technology involves certain risks.
These risks may include:
interruption or failure of technology;
delays in communication;
technical difficulties;
unauthorized access or security incidents;
limitations associated with internet or telecommunications services; and
circumstances affecting the quality, continuity, or privacy of communications.
Wild Sage Therapy takes reasonable steps to protect the security and confidentiality of information in accordance with applicable legal and professional obligations.
However, no electronic communication, transmission, storage system, or technology can be guaranteed to be completely secure or continuously available
vi. No Waiver of Legal or Professional Obligations
Nothing in this Waiver:
waives any right or protection that cannot legally be waived;
authorizes the unlawful collection, use, or disclosure of personal information or personal health information;
limits any obligation imposed by applicable privacy or health-information legislation;
limits any professional obligation applicable to Wild Sage Therpay or the therapist providing services; or
prevents a person from exercising any legal right or remedy available under applicable law.
19) Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Wild Sage Therapy and its directors, officers, employees, contractors, agents, and service providers, from and against third-party claims, liabilities, damages, losses, and reasonable expenses arising directly from:
your material breach of these Terms;
your unlawful, fraudulent, or intentional misuse of the Website;
your violation of applicable law or the rights of another person in connection with your use of the Website; or
your introduction of malicious code or other harmful material into the Website or systems used to provide the Website.
Wild Sage Therapy will provide reasonable notice of any claim for which it seeks indemnification and will provide you with a reasonable opportunity to participate in the defence of the claim, subject to Wild Sage Therapy 's right to participate in the defence and to protect its own interests.
You will not be responsible under this Section to the extent that a claim, loss, or liability results from Wild Sage Therapy's own negligence, wilful misconduct, breach of applicable law, or other conduct for which responsibility cannot legally be transferred or excluded.
Nothing in this Section:
requires you to indemnify Wild Sage Therapy for Wild Sage Therapy 's professional negligence or misconduct;
limits or excludes any obligation relating to privacy or personal health information;
limits any professional obligation applicable to Wild Sage Therapy or professionals providing services through it; or
excludes, limits, or waives any liability or obligation that cannot legally be excluded, limited, or waived.
20) Amendment to Terms
These Terms shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of Wild Sage Therapy
21) Governing Law
The Website and these Terms and Conditions will be governed by and construed in accordance with the laws of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle or rule (whether of the laws of Ontario or any other jurisdiction) and notwithstanding your domicile, residence or physical location.
Any action or proceeding arising out of or relating to this Website and under these Terms and Conditions will be instituted in the courts of the province of Ontario and/or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
22) No Assignment
This Terms and Conditions is not to be assignable except as may be contemplated hereunder but will enure to the benefit of and be binding upon each of the parties and their respective successors and permitted assigns.
23) Injunctive Relief
Notwithstanding any other provisions of this Terms and Conditions, you acknowledge and agree that Wild Sage Therapy may obtain an injunction or other appropriate relief against you if you contravene or fail to comply with any provision of this Terms and Conditions in any way and you further agree that the provisions of this paragraph may be pleaded against you by way of estoppel or defence to a claim by you that an injunction or other appropriate relief should not be granted.
24) Independent legal Advice
By using Wild Sage Therapy’s website or using Wild Sage’s services you acknowledge and agree that you (i) have had sufficient time to review and consider this Terms and Conditions thoroughly; (ii) has read and understands the terms, the nature and the consequences of this Terms and Conditions and the obligations hereunder; (iii) have been given an opportunity to obtain independent legal advice concerning the interpretation and effect of this Terms and Conditions.
25) No Waiver for Non-Enforcement
No waiver under these Terms and Conditions is effective unless it is in writing and signed by an authorized representative of the party waiving its right. No single or partial exercise of any right, remedy, power or privilege here under precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
Failure of Wild Sage Therapy to enforce any of the provisions set out in these Terms and Conditions and any agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of these Terms and Conditions or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision.
26) Severability
If any term or provision of these Terms and Conditions is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of these Terms and Conditions or invalidate or render unenforceable such term or provision in any other jurisdiction.
27) Entire Agreement
The Terms and Conditions and our Privacy Policy constitute the sole and entire agreement between you and Wild Sage Therapy regarding the Website and your use thereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.
28) Communications
Wild Sage Therapy reserves the right to contact you from time to time for feedback regarding our Products and Services. We will also contact any User or Client who files a complaint with Wild Sage Therapy regarding a representative of Wild Sage Therapy or the Services overall. Notices to Users and Clients will be deemed effective at the time they are sent by Wild Sage Therapy or as of the date they are posted on the Website.
29) Maintenance and Support
Wild Sage Therapy is solely responsible for providing any maintenance and support services with respect to the Website when required from time to time or as required under applicable law. If you notice a problem or error on the Website, you can report it to hello@wildsagetherapy.ca.
Arbitration
In the event of any dispute relating to or arising out of your use of these Terms and Conditions, such dispute shall be settled and determined by a single arbitrator in accordance with the Arbitration Act of Ontario. If you and Wild Sage Therapy are unable to agree on an arbitrator within fifteen (15) days after Wild Sage Therapy is made aware of the dispute, then the parties shall submit the matter to the ADR Institute of Ontario (or is successor), which shall choose the arbitrator. The decision of the arbitrator shall be final and binding without appeal on questions for law or fact or for any reason whatsoever. Costs of the arbitration shall be shared equally between you and Wild Sage Therapy. In the event arbitration is not allowed by law, any other action must be brought only in the courts of Ontario, Canada.
